Legal Counsel & Board Secretary – Saudi Arabia (Riyadh)

The client is an international pharmaceutical company headquartered in Riyadh, Saudi Arabia.

Your new role

They’re looking for an experienced Corporate and Commercial Lawyer and Board Secretariat to assist with all general corporate and commercial legal services and board secretary and governance services.

Responsibilities

In this role, you will be reporting to the General Counsel and will be responsible for the Company Secretarial function and will be collaborating closely with internal and external stakeholders across the business and the wider group.

Your primary focus will be corporate and commercial advisory work, to include assisting in negotiating, drafting and reviewing various corporate agreements, including M&A, joint venture agreements, licensing agreements, MOU, NDA etc. You will be required to conduct due diligence and legal research. The applicant will also be able to draft, review and negotiate a variety of commercial agreements, including sales of goods, distribution agreements, service agreements. In addition, you will be able to conduct legal research on commercial issues that apply to the industry and stay up to date with commercial and regulatory changes applicable to Saudi Arabia and handle day-to-day legal matters, including regulatory compliance, employment, intellectual property, dispute resolution and litigation.

Additionally, you will be required to ensure proper corporate governance and company secretarial administration for the company, to include but not limited to, attending meetings with the GC, distributing meeting agendas and supporting documents, taking meeting minutes, preparing resolutions, maintaining and filing records properly and ensuring passed resolutions and recommendations are addressed, monitoring deadlines (internal or statutory requirements), supporting the board for arranging logistics and travel arrangements, liaising with the wider company on matters such as annual Board and Sub-Committee remuneration and allowances, quarterly reports, governance frameworks compliance, address regular portfolio company requirements.

The ideal candidate would be a fully licenced lawyer with some existing corporate governance/board secretarial duties. The role will be based in Riyadh, Saudi and the individual should be a Saudi National with extensive KSA experience and additional international experience is beneficial.

What you'll need to succeed

  • 3-5 years of legal experience gained from a reputable/recognised law firm and a proven background in general corporate and commercial legal work
  • Additional in-house experience is preferred
  • Detailed knowledge and understanding of KSA legislative requirements and an understanding of corporate governance policies and procedures
  • Exceptional communication skills
  • Fluent English and Arabic speaker
